Robert A. Smoller

Bob Smoller concentrates his practice in the areas of corporate, banking and securities law. He has practiced in these areas for over 30 years. In his practice, Mr. Smoller has been involved in numerous offerings of securities, including initial public offerings, other underwritten stock and debt offerings of public companies and over 200 private offerings. Mr. Smoller represents companies in their day to day business activities. He regularly counsels clients on mergers and acquisitions and financing agreements. He has represented franchise clients in securities, general corporate and franchising transactions. His securities work includes registration of hedge funds, preparation of confidential placement memoranda for private offerings, preparation of stock options and other securities based employment plans and representation of issuers in '33 Act and '34 Act matters. He also advises banks on loan transactions, including loans secured by restricted stock and other securities. Mr. Smoller is a certified public accountant and has been a director of a NASDAQ listed company. He regularly conducts seminars for banks on lending on securities and has written articles for Franchise Legal Digest on initial public offerings. Mr. Smoller has been the Chief Financial Officer of the firm for over 12 years and also serves as co-head of Schwartz Cooper's Securities, Investment Management, Private Equity & Futures practice.
